Article 1. Application of the General Terms and Conditions
1.1. These terms apply to all offers and agreements with Be Inspired, prevailing over conflicting provisions. Placing an order implies acceptance of Be Inspired’s terms.
Article 2. Quotes – Agreement
2.1. Quotes are non-binding until the customer accepts within eight days. The agreement is confirmed when the customer signs and returns the unchanged quote. Execution begins upon receipt of the deposit.
2.2. Payments to third parties are invoiced unless specified otherwise in the collaboration proposal.
Article 3. Cancellation by the Customer
3.1. Customer cancellation is allowed before Be Inspired starts work, with a 30% cancellation fee.
3.2. Temporary suspension requires Be Inspired’s consent. The client pays 10% monthly during the suspension, added to the contract duration.
3.3. Outstanding fees and damages due to contract termination are solely the client’s responsibility.
Article 4. Termination by Be Inspired
4.1. Be Inspired can terminate the contract anytime via registered mail without compensation, ensuring completion of paid services.
Article 5. Delivery
5.1. Delivery dates are indicative; delays don’t grant compensation, price reduction, or contract termination rights.
Article 6. Risk
6.1. Customer-owned goods at Be Inspired are at the customer’s risk.
Article 7. Payment Terms
7.1. Invoices are payable promptly unless agreed otherwise. Disputes must be raised within seven days; unpaid invoices accrue a 10% fee.
7.2. All invoices are due within 30 calendar days; discounts expire if terms are violated.
7.3. Late payment incurs statutory interest; Be Inspired may suspend services until payment. Delayed payment makes all sums due immediately.
7.4. Click budgets must be pre-paid. Be Inspired informs clients of payment options and potential service suspensions for non-payment.
Article 8. Liability
8.1. Be Inspired commits to diligent service. All services are best effort. Be Inspired isn’t liable for errors due to insufficient or wrong client input.
Article 9. Force Majeure
9.1. Be Inspired isn’t liable for failure due to unforeseen events. All claims expire within a year.
Article 10. Ownership Rights
10.1. Services remain Be Inspired’s until full payment. The client bears the service risk.
Article 11. Domain Names, Hosting & Email Accounts
11.1. Orders for domains, hosting, or email go to the chosen external partner; the client is billed directly.
Article 12. Termination of Agreement
12.1. Client’s severe breach permits suspension or termination. Upon termination, services, termination costs, and a 30% compensation are due.
12.2. A reasonable term for issue correction and seeking an amicable solution is granted.
Article 13. Reference
13.1. Work executed for the client may be included in Be Inspired’s portfolio.
Article 14. Cases
14.1. Be Inspired may use results for commercial purposes (cases, presentations, etc.).
Article 15. Dispute Resolution
15.1. Belgian law applies; disputes fall under Dendermonde’s exclusive jurisdiction.
15.2. Client bears costs for legal collection efforts.
Article 16. Non-Solicitation
16.1. Client refrains from hiring Be Inspired employees during the agreement and one year after, without prior written agreement, with compensation for any breach.
